1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Mi Academy, the online learning platform operated by Mission Increase ("Mi," "we," "us," or "our") at learning.missionincrease.org. By creating an account, subscribing to any paid plan, or otherwise accessing the platform, you agree to be bound by these Terms.

If you are accessing Mi Academy on behalf of a ministry, nonprofit organization, or other entity, you represent that you have authority to bind that entity, and references to "you" in these Terms include both you individually and the entity.

If you do not agree to these Terms, you may not access or use Mi Academy.

2. Description of Service

Mi Academy is a subscription-based online learning program providing courses, resources, and AI-assisted learning support designed to equip nonprofit and ministry leaders in fundraising, champion development, and organizational health. The program includes:

• Structured courses organized into specialties and depth tiers.
• Downloadable resources, worksheets, and reference materials.
• Mi Advisor, an AI-powered learning companion that responds to questions and assists learners in developing draft documents ("Mi Advisor"). Mi Advisor is powered by the Anthropic Claude API. Conversations with Mi Advisor are used to provide learning support and may be stored to improve service quality.
• Community features for peer interaction and discussion.
• Assessment tools including quizzes and topic exams.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice to subscribers.

3. Accounts and Eligibility

3.1 Account Creation

To access most Mi Academy content, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Eligibility

Mi Academy is intended for adults aged 18 and older. By creating an account, you represent that you are at least 18 years of age. Mi Academy is not directed to children under 18, and we do not knowingly collect information from individuals under 18.

3.3 Organizational Subscriptions

When an organization subscribes to Mi Academy, the account administrator is responsible for managing user seats, ensuring that all users within the organization comply with these Terms, and notifying Mission Increase promptly if any user's access should be revoked.

4. Subscriptions and Payment

4.1 Subscription Plans

Mi Academy is offered on a subscription basis. Current plans include a Free tier providing access to introductory courses, and paid subscription options providing broader access as described on the Mi Academy program page. Pricing is displayed at the time of purchase.

We may change subscription pricing from time to time. For existing subscribers, any price increase will take effect no sooner than 30 days after we provide notice by email or through the Mi Academy platform. If you do not wish to continue at the new price, you may cancel your subscription before the new price takes effect.

4.2 Billing and Renewal

Mi Academy offers two types of paid subscriptions:

Monthly subscriptions are billed monthly and automatically renew at the end of each monthly billing period. You may cancel at any time, and cancellation takes effect at the end of the current monthly period. You are not committed to any minimum subscription length.

Annual Specialty subscriptions provide one year of access to a specific bundle of courses and automatically renew for additional one-year periods at the end of each annual term. You may cancel at any time, and cancellation takes effect at the end of the current annual period.

Payment processor. Payments are processed through Stripe, a third-party payment processor integrated with the LearnWorlds platform. By subscribing, you authorize Stripe to charge your payment method on a recurring basis for the applicable subscription fee. Mission Increase does not collect or store your full payment card details. Your bank or credit card statement may display the charge as originating from Stripe or LearnWorlds rather than Mission Increase.

Renewal notice for annual Specialty subscriptions. For annual Specialty subscriptions, we will send a renewal reminder email to the address on file approximately 15 days before the auto-renewal charge. The reminder will identify the Specialty subscription, the renewal amount, the renewal date, and how to cancel before the charge. Monthly subscriptions do not include separate renewal reminders; your original purchase confirmation discloses the recurring nature of the charge.

How to cancel. You may cancel any subscription at any time through your account settings on the Mi Academy platform.

4.3 Refund Policy

Subscription fees are non-refundable. When you cancel a subscription, you retain access to paid features through the end of the billing period for which you have already paid, and you will not be charged again. We do not provide pro-rated refunds for unused portions of any subscription period.

Nothing in this Section limits statutory refund or cancellation rights that may apply to you under the consumer protection laws of your country of residence.

If you believe a billing error has occurred, contact us at miacademy@missionincrease.org within 30 days of the charge.

4.4 Cancellation

You may cancel your subscription at any time as described in Section 4.2. After cancellation, you retain access to paid features through the end of the period for which you have already been charged.

5. Intellectual Property and Content License

5.1 Ownership

All content available through Mi Academy, including but not limited to course materials, text, audio, video, graphics, downloadable resources, assessments, and the Mi Academy brand, is owned by or licensed to Mission Increase and is protected by applicable intellectual property laws.

5.2 Limited License to Subscribers

Subject to these Terms and your active subscription, Mission Increase grants you a limited, non-exclusive, non-transferable, revocable license to access and use Mi Academy course materials for your personal, professional, or organizational learning purposes. This license does not include the right to:

• Reproduce, distribute, publicly display, or create derivative works from Mi Academy content.
• Share login credentials or allow others outside your authorized user seats to access paid content.
• Use Mi Academy content for commercial training, resale, or redistribution without written permission from Mission Increase.
• Scrape, crawl, or systematically download platform content.

5.3 Downloadable Resources

Certain worksheets, templates, and reference materials made available for download are licensed for personal ministry use only. These materials may not be rebranded, resold, or distributed outside your organization without prior written consent from Mission Increase.

5.4 User-Generated Content

By submitting content to community forums, discussion boards, or other interactive features of Mi Academy, you grant Mission Increase a non-exclusive, royalty-free license to display and use such content within the platform. You represent that you have the right to share any content you submit and that it does not violate any third-party rights.

6. Mi Advisor and AI-Assisted Features

Mi Advisor is an AI-powered learning companion integrated into Mi Academy courses. It uses a combination of third-party services, including the Anthropic Claude API for AI response generation, alongside additional services for content moderation, knowledge retrieval, and conversation storage. The complete technical architecture and data flow is described in our Privacy Policy. By using Mi Advisor, you acknowledge and agree that:

• Mi Advisor provides general learning support and is not a substitute for professional legal, financial, tax, or theological advice.
• Mi Advisor responses are generated by an AI system and may contain errors or omissions. Mission Increase does not warrant the accuracy or completeness of any AI-generated response.
• You are responsible for reviewing and validating any draft documents or recommendations produced with Mi Advisor's assistance before acting on them.
• You should not share sensitive personal information, financial account details, passwords, or confidential third-party information with Mi Advisor.

What we store. When you use Mi Advisor, we store the text of your conversations, your user identifier, timestamps, the course context in which the conversation took place, and any documents or drafts produced through the conversation. Storing this information allows you to return to prior work, helps us improve the service, and supports our obligations to Anthropic under applicable API terms.

How long we keep it. We retain Mi Advisor conversation data for as long as we have a legitimate business interest in retaining it, including supporting service improvement and enabling continuity for returning subscribers. We do not automatically delete Mi Advisor conversation data when you cancel a subscription or close your Mi Academy account.

Your right to delete. You may request deletion of your Mi Advisor conversation history at any time, including after you close your Mi Academy account, by emailing miacademy@missionincrease.org. We will process deletion requests within a reasonable period after verifying your identity. Deletion of Mi Advisor history does not affect your access to Mi Academy courses (if your account is still active) or your right to re-subscribe in the future.

7. Acceptable Use

You agree to use Mi Academy only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the platform in any way that violates applicable law or regulation.
• Attempt to gain unauthorized access to any part of the platform or any other user's account.
• Interfere with or disrupt the integrity or performance of the platform.
• Use Mi Academy content to train, develop, or improve any AI or machine learning system without written consent from Mission Increase.
• Engage in harassing, abusive, or discriminatory conduct in community features.
• Impersonate Mission Increase staff or misrepresent your affiliation with any organization.

Mission Increase reserves the right to suspend or terminate access for any user who violates these Terms.

8. Privacy and Data

Your use of Mi Academy is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect personal information, including data processed through the LearnWorlds platform, the Mi Advisor feature, the Stripe payment processor, and any other third-party services.

9. Disclaimers

MI ACADEMY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MISSION INCREASE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Course content, including content generated or assisted by Mi Advisor, is provided for educational purposes only and does not constitute professional legal, financial, tax, theological, or other expert advice. You should seek qualified professional guidance for decisions in those areas.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MISSION INCREASE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF MI ACADEMY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MISSION INCREASE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU FOR MI ACADEMY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such limitations are not permitted by law in your jurisdiction, the limitations in this Section apply only to the maximum extent permitted by law, and other limitations and exclusions in these Terms remain in full force and effect.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mission Increase and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of Mi Academy in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any content you submit to the platform.

12. Term and Termination

These Terms remain in effect as long as you have an Mi Academy account. Mission Increase may suspend or terminate your access at any time if you violate these Terms, with or without notice, and without liability. Upon termination, your license to access Mi Academy content ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

You may delete your account at any time through your account settings. Account deletion does not entitle you to a refund of any prepaid subscription fees except where required by law.

13. Modifications to Terms

Mission Increase may update these Terms from time to time. The current version will always be posted on the Mi Academy platform with the "Effective Date" shown at the top.

Non-material changes. For non-material updates such as clarifications, typographical corrections, contact information changes, or changes that do not affect your rights as a subscriber, we will post the updated Terms on the platform and update the Effective Date. Your continued use of Mi Academy after the Effective Date constitutes acceptance of the updated Terms.

Material changes. For material changes, including any changes to subscription pricing, billing or renewal practices, refund policy, data practices, dispute resolution, or other provisions that meaningfully affect your rights, we will:

• Provide notice by email to the address associated with your account at least 30 days before the changes take effect; and
• Require affirmative acceptance of the updated Terms before you can continue using paid features of Mi Academy after the Effective Date.

If you do not accept material changes to these Terms, you may cancel your subscription as provided in Section 4.4. Cancellation will not affect your access to paid features through the end of the billing period for which you have already paid.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oregon, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

14.1 Informal Resolution

Before filing any legal claim against Mission Increase relating to these Terms or Mi Academy, you agree to first contact us at miacademy@missionincrease.org and provide a written description of the dispute, your contact information, and the resolution you are seeking. Mission Increase will do the same if it has a claim against you. Both parties agree to attempt in good faith to resolve the dispute through informal communication for a period of sixty (60) days from the date the first notice is received.

14.2 Court Proceedings

If a dispute is not resolved within sixty (60) days of the informal resolution notice, either party may bring the matter before the state or federal courts located in Multnomah County, Oregon. You and Mission Increase consent to the personal jurisdiction of those courts for that purpose.

14.3 Statutory Rights

Nothing in this Section limits any non-waivable rights you may have to bring claims in the courts of your country of residence under applicable consumer protection law.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Mission Increase regarding Mi Academy and supersede any prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15.3 Waiver

Failure by Mission Increase to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Mission Increase may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
